These Terms of Service ("Terms") govern your access to and use of the Habit42 platform — currently a fitness and wellness habit-accountability challenge — operated by Habit42 LLC ("Habit42," "we," "us," or "our"), a Texas limited liability company. By accessing the Habit42 website, joining our waitlist, creating an account, logging into the Habit42 system, or participating in any Habit42 challenge, you agree to be bound by these Terms in their entirety.
If you do not agree to these Terms, you may not access or use the Service.
The Service
Habit42 is a 42-day habit-tracking and accountability challenge platform. Habit42 LLC provides the technology platform, challenge structure, community features, and administrative tools. Challenges are organized and administered by third-party organizations ("Challenge Administrators") — including gyms, churches, employers, coaches, and community groups — who purchase access to the Habit42 platform under a separate subscription agreement.
Habit42 LLC is not the organizer of any specific challenge. The challenge rules, entry fees, prize structures, and participation requirements are set by the Challenge Administrator for each individual challenge.
Eligibility
You may use Habit42 if you are capable of forming a binding contract under applicable law and are not prohibited from doing so. By registering for an account, you represent and warrant that the personal information you provide is accurate, complete, and current. You agree to keep your information updated throughout your participation.
You must be at least 18 years old to create an account and use the Service.
Your Account & Access
Permitted use. Subject to your compliance with these Terms, Habit42 grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Habit42 system solely for your own intended, personal use of the Service. This license conveys no ownership interest in the Service, and Habit42 may suspend or revoke it at any time, with or without notice.
Account security. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at support@habit42.com if you suspect unauthorized access to your account. Habit42 LLC is not liable for losses resulting from unauthorized account access where you have failed to safeguard your credentials.
One account per person. Creating multiple accounts to gain a competitive advantage in any challenge is prohibited and may result in disqualification and permanent account termination.
Challenge Participation
4.1 Entry Fees and Prize Pools
Some challenges require a participation entry fee as set by the Challenge Administrator. Entry fees are collected and held in a prize pool. Habit42 LLC retains 50% of the gross prize pool as a platform fee. The remaining 50% is distributed to participants as prizes according to the challenge rules established by the Challenge Administrator.
Entry fees are non-refundable once the challenge period has begun. If a challenge is cancelled before it begins by the Challenge Administrator or Habit42, entry fees will be refunded in full within 14 business days.
4.2 Honesty and Integrity
You agree to log all habit check-ins, weight entries, and activity responses accurately and honestly. The integrity of the Habit42 challenge depends on participants reporting truthfully. Falsifying any data — including check-in responses or weight readings — is a material violation of these Terms and may result in immediate disqualification, forfeiture of prize eligibility, and permanent account termination.
If you suspect another participant of fraudulent activity, please report it to your Challenge Administrator or to support@habit42.com.
4.3 Prize Distribution and Tax Obligations
Prizes are distributed based on final point totals, weight results, and other metrics as specified by the Challenge Administrator's rules. Habit42 LLC's calculation of point totals and ranking is final and binding. Prize distribution is processed within 5 business days following the official close of the challenge.
You are solely responsible for all applicable taxes on any prizes you receive.
4.4 Weigh-In Schedule and Final Results
Challenges that track body weight use a fixed weekly weigh-in schedule set by the Challenge Administrator. The weigh-in day is the same day of the week on which the challenge begins, and recurs each week for the duration of the challenge. Your starting ("baseline") weight is recorded at the start of the challenge and is used as the fixed reference point against which every weekly result is measured.
Weekly weigh-in window. Each weekly weigh-in is open for the full weigh-in day and closes at midnight Central Time (CT) at the end of that day. All weigh-in windows are measured in Central Time regardless of your local time zone. Weekly results are reviewed and published the following day. You are encouraged to submit your weight by midday on the weigh-in day to allow time for processing.
Submissions are final. Once you submit a weight for a given week, that entry is locked and cannot be changed by you. If you believe an entry was made in error, contact your Challenge Administrator, who may make a correction at their discretion.
Missed weekly weigh-ins. If you do not submit a weight before the window closes for a given non-final week, no weight is recorded or estimated on your behalf for that week. You will be shown as having no result for that week and will not be ranked on that week's leaderboard. A missed weekly weigh-in does not remove you from the challenge or from any other week — each week is measured independently against your baseline.
Final weigh-in is mandatory. The final weigh-in — taken on the last scheduled weigh-in day of the challenge — is required in order to be included in the final rankings and to be eligible for any end-of-challenge prizes. If you do not submit a weight during the final weigh-in window, you will be excluded from the final rankings and forfeit eligibility for final prizes, regardless of your results in prior weeks. Unlike weekly weigh-ins, no prior or estimated weight will be substituted for a missed final weigh-in. Reminders will be sent in advance of the final weigh-in; it is your responsibility to submit on time. In the case of a documented emergency, you may contact your Challenge Administrator, who may, at their sole discretion, record a final weight on your behalf.
Final rankings for weight challenges are determined by percentage of body weight lost relative to your baseline, which is used to fairly compare results across participants of differing starting weights. Habit42 LLC's calculation of results and rankings is final and binding.
4.5 Integrity Policy — Mistakes vs. Intentional Fraud
Mistakes happen — and that's okay. If you make an error (wrong photo, missed check-in, incorrect entry), contact your Challenge Administrator as soon as you notice it. Honest mistakes can almost always be corrected. This policy exists solely to address intentional fraud — deliberate attempts to gain an unfair advantage over fellow participants competing for real prizes.
Habit42 is built on community, accountability, and trust. We do not expect perfection, and we understand that life gets complicated over 42 days. What we do expect is honesty. The policies below apply only to intentional, deliberate conduct — not to good-faith errors that are self-reported and corrected through your administrator.
4.5.1 Mistakes Are Correctable — Report Them
If you realize you submitted incorrect data — a weigh-in entry that doesn't look right, a check-in logged by accident, a shipping address that has changed — reach out to your Challenge Administrator or to support@habit42.com right away. Honest self-reporting is always treated as good faith. Corrections made through your administrator are handled privately and without penalty. The correction process exists precisely so that honest participants are not disadvantaged by innocent errors.
Examples of correctable mistakes: accidentally logging the wrong weight, checking in for the wrong habit by mistake, submitting a blurry or unclear weigh-in photo, entering an outdated shipping address, or missing a weigh-in window due to travel or a time-zone miscalculation. None of these are violations — they are part of being human, and your administrator is there to help.
4.5.2 Intentional Fraud — Zero Tolerance
HABIT42 OPERATES A ZERO-TOLERANCE POLICY FOR INTENTIONAL FRAUD. Deliberate attempts to falsify data, manipulate results, or deceive fellow participants for financial gain may result in immediate disqualification, forfeiture of all prizes and entry fees, and permanent removal from the platform.
Intentional fraud harms real people. Every participant competes for cash prizes and sponsored rewards funded by the entry fees of their fellow cohort members. Deliberate cheating is not a violation against Habit42 — it is a direct financial theft from the honest participants competing alongside you. The following conduct is prohibited when undertaken intentionally and for the purpose of gaining an unfair advantage:
Weigh-In Fraud. Intentionally submitting a weigh-in photo that does not reflect your true weight at the time of submission — including deliberate dehydration or water-loading to manipulate your recorded weight; submitting a photo taken on a different date to misrepresent your result; submitting a photo of someone else's scale reading, another person's body, or a digitally altered image.
Check-In and Points Fraud. Deliberately logging daily habit check-ins for activities you did not complete; having another person submit check-ins on your behalf without your participation; using automation, scripts, bots, or any non-human means to submit check-ins or accumulate points; coordinating with other participants to artificially inflate point totals.
Multiple Accounts. Creating or using more than one Habit42 account to gain a competitive advantage, manipulate leaderboard rankings, or circumvent a disqualification.
Identity and Payment Fraud. Entering a challenge under another person's name, email address, or payment; sharing a join code with someone who has not completed their own registration and payment; allowing another person to actively participate using your account credentials.
Prize Fraud. Intentionally providing false information for the purpose of prize delivery; attempting to claim a prize tier not earned through legitimate participation.
Data Falsification. Deliberately submitting inaccurate weight readings, check-in records, activity records, or any other tracked metrics with the intent to inflate your standing or prize eligibility.
4.5.3 How Intent Is Determined
Habit42 LLC, acting through its founder and designated administrators, is the sole authority for determining whether conduct was intentional and for applying appropriate consequences. In making that determination, Habit42 considers factors including whether the participant self-reported the issue before it was discovered, whether the error was isolated or part of a pattern, whether the participant cooperated with any inquiry, and whether a plausible innocent explanation exists. Self-reporting is always a significant factor in the participant's favor.
Determinations are made at Habit42's reasonable discretion based on available evidence. Proof beyond a reasonable doubt is not required — a consistent pattern of unusual data, failure to self-report, or direct evidence of manipulation is sufficient basis for a finding.
4.5.4 Consequences for Intentional Fraud
Consequences for confirmed intentional fraud are applied on a tiered basis at Habit42's sole discretion. Tiers may be skipped for severe or clear-cut violations.
Tier 1 — Private Warning. Issued for a first instance where intent is ambiguous and the conduct was minor. Logged internally. No prize impact unless repeated. The participant is given the opportunity to correct the data and continue.
Tier 2 — Prize Disqualification. Participant may continue in the challenge community but is excluded from leaderboard rankings and prize eligibility for the current cohort. Applied when fraud is confirmed but removal from the community is not warranted. Entry fee is not refunded.
Tier 3 — Removal and Forfeiture. Participant is immediately removed from the challenge. All prize eligibility is permanently forfeited. The entry fee is non-refundable. Applied for clear, documented intentional fraud — including falsified photos, multiple accounts, or identity and payment fraud.
Tier 4 — Permanent Platform Ban. Applied alongside or independent of Tier 3 for egregious or repeated intentional violations. Enforced at the email and payment level. This ban is not subject to reversal.
4.5.5 Appeals
If you believe a consequence was applied in error, you may submit a single written appeal to support@habit42.com within seven (7) calendar days of being notified of the action. Include your name, what you are contesting, and any supporting evidence. Habit42 will respond within seven (7) business days. That outcome is final and binding. Consequences are not suspended during the review period.
4.5.6 Reporting Suspected Violations
If you believe another participant is committing intentional fraud, you may report it to your Challenge Administrator or to support@habit42.com. Habit42 will review all credible reports but is not obligated to disclose the outcome of any investigation. Submitting a false or malicious report against another participant is itself a violation of these Terms.
4.5.7 Effect on Prizes and Entry Fees
Any prize forfeited due to intentional fraud is not redistributed to the prize pool. Prize calculations for remaining eligible participants are not altered by a disqualification. Forfeited entry fees from removed participants are retained by Habit42 LLC and are not returned to other participants. By entering a paid challenge, you acknowledge and accept these consequences as reasonable given the competitive and prize-bearing nature of the program.
4.5.8 Acknowledgment
By accepting these Terms, I acknowledge that I have read and understand Habit42's Integrity Policy. I understand that honest mistakes are correctable — and that I should contact my administrator promptly if I make one. I also understand that intentional fraud harms real people competing alongside me for real prizes, and that deliberate violations may result in disqualification, prize forfeiture, and permanent removal without refund.
Fitness & Wellness Challenge Terms
Habit42 fitness and wellness challenges involve physical activity, nutrition habits, and body weight tracking. By participating, you acknowledge that:
- Habit42 is not a medical device, healthcare provider, or licensed fitness professional
- All fitness suggestions, habit prompts, and motivational tips are for informational and motivational purposes only and do not constitute medical or professional fitness advice
- You should consult a qualified physician or licensed healthcare provider before beginning any new diet or exercise program, particularly if you have a pre-existing medical condition, are pregnant, or have been inactive for an extended period
- You participate in physical activity at your own risk; Habit42 LLC is not liable for any injury, illness, or adverse health outcome resulting from your participation
- Body weight tracking is a voluntary feature; you may use manual entry at any time and are not required to submit scale photos
Acceptable Use
You agree not to:
- Post content in the community feed that is abusive, threatening, harassing, discriminatory, or sexually explicit
- Impersonate another person, couple, or organization
- Use the platform for any unlawful purpose or in violation of any applicable law
- Attempt to gain unauthorized access to any part of the Service or another user's account
- Interfere with or disrupt the integrity, security, or performance of the Service
- Reverse engineer, decompile, or attempt to extract the source code of the platform
- Copy, modify, exploit, or create derivative works from any part of the Habit42 system
- Use automated means (bots, scrapers) to access, collect data from, or interact with the Service
- Share your account credentials with another person or allow another person to log habit check-ins on your behalf
Community Standards
The Habit42 community feed is a positive accountability space. All participants are expected to treat others with respect and encouragement. Content that demeans, bullies, or targets other participants — including comments about their weight or other personal circumstances — is strictly prohibited and will result in post removal and may result in account suspension.
Challenge Administrators have the authority to moderate community content within their challenge and to remove participants for conduct violations. Habit42 LLC reserves the right to remove any content and suspend any account for violations of these community standards.
Intellectual Property & Your Content
Our intellectual property. The Habit42 system — including its proprietary algorithms, source code, software, text, graphics, logos, the H42 mark, and user interfaces — is the exclusive intellectual property of Habit42 LLC and is protected by United States copyright, trademark, and other intellectual property laws. Except for the limited license expressly granted to you in these Terms, no right, title, or interest in the Service is transferred to you.
Stock assets. The Habit42 marketing website uses stock photography sourced through Adobe Express and licensed in compliance with the Adobe Stock licensing terms. These images are licensed to Habit42, not to you. You are strictly prohibited from downloading, copying, scraping, redistributing, or otherwise using these media assets for any purpose.
Your content. You retain ownership of content you post on Habit42 (community feed posts, motivation statements, and profile information). By posting content, you grant Habit42 LLC a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute that content within the platform for the purpose of operating the Service. This license ends when you delete the content or close your account.
You represent that you own or have the necessary rights to post any content you submit, and that your content does not violate the rights of any third party.
Sponsorship and Third-Party Offers
Some challenges may feature sponsored content from third-party businesses approved by Habit42 LLC. Sponsored content is labeled as such in the app. Habit42 does not endorse any sponsor's products or services and is not responsible for any transactions between you and a sponsor. Sponsor offers, discount codes, and promotions are subject to the sponsor's own terms and conditions. Habit42 LLC is not liable for any issues arising from your use of a sponsor's products or services.
Disclaimers
The Habit42 website, waitlist, and system (the "Service") are provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. While we strive for maximum uptime and operational accuracy, Habit42 LLC does not warrant that the Service will be uninterrupted, completely secure, error-free, or free of viruses or other harmful components.
Habit42 LLC makes no representation or warranty that participation in any challenge will result in specific health outcomes or weight-loss results. Individual results vary and depend entirely on each participant's own efforts, consistency, and circumstances.
Limitation of Liability
To the maximum extent permitted by applicable law in the State of Texas, Habit42 LLC, its owners, members, managers, employees, affiliates, and agents shall not be liable for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or related to your use of, or inability to use, the Habit42 website, waitlist, or system, regardless of whether Habit42 LLC has been advised of the possibility of such damages.
This limitation applies to all claims whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, and includes without limitation claims related to: physical injury from fitness activities; or any prize not received due to platform error.
Our total aggregate liability to you for all claims arising out of or relating to your use of the Service shall not exceed the greater of (a) the total amount you paid to Habit42 in the 12 months immediately preceding the claim, or (b) $100.
Indemnification
You agree to indemnify, defend, and hold harmless Habit42 LLC and its members, managers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: your use of the Service; your violation of these Terms; your violation of any law or the rights of any third party; or any content you post on the platform.
Termination
We reserve the right to suspend or terminate your waitlist status, account, and access to the Service at any time, with or without notice, for any violation of these Terms or for any conduct that Habit42 LLC determines, in its sole discretion, is harmful to other participants, Challenge Administrators, or the platform. Upon termination, your right to use the Service ceases immediately.
You may close your account at any time by contacting support@habit42.com. Closing your account does not entitle you to a refund of any entry fees paid for an active or completed challenge.
Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service shall first be submitted to good-faith negotiation. If negotiation fails within 30 days, the dispute shall be resolved by binding arbitration administered in Galveston County, Texas, under the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction. The state and federal courts located in Texas shall have exclusive jurisdiction and venue over any judicial proceeding permitted under these Terms — including any action for equitable relief or to enforce an arbitration award — and you consent to personal jurisdiction in those courts. You waive any right to participate in a class action lawsuit or class-wide arbitration.
Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Habit42 LLC regarding your use of the Service and supersede all prior agreements, understandings, and representations. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Changes to These Terms
We may update these Terms from time to time to reflect changes in the law, our practices, or the Service. If we make material changes, we will notify you through the app and ask for your re-acknowledgment of the updated Terms before you continue using the Service. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
